Business Financing Terms
Effective date: 21 September 2026 1. APPLICATION OF THESE TERMS These Business Financing Terms apply when a business submits an enquiry or application to seek private commercial financing through Meridian. Submitting an application requests assessment and introduction services; it does not guarantee approval, an offer, funding amount or completion date. 2. ELIGIBILITY Applicants must be legitimate businesses operated by persons authorised to act for them. Financing must be requested for a lawful commercial purpose. Meridian may consider operating history, revenue, sector, location, requested amount, purpose, repayment capacity, ownership, management, compliance and other relevant factors. 3. INFORMATION AND DUE DILIGENCE The applicant must provide accurate, current and complete information and promptly disclose material changes. Meridian may request constitutional documents, licences, ownership details, accounts, bank records, contracts, invoices, purchase orders, forecasts, tax information, identity records and evidence of the proposed use of funds. The applicant authorises Meridian to verify submitted information through lawful sources and relevant service providers. Meridian may pause or reject an application when information is missing, inconsistent, unverifiable or raises fraud, sanctions, compliance, credit or reputational concerns. 4. NO COMMITMENT UNTIL SIGNING Discussions, orientation, indicative figures and draft terms are non-binding unless clearly stated otherwise. A financing obligation arises only when all required parties sign the final agreement, conditions are satisfied and any required transfer is completed. 5. STRUCTURE AND USE OF FUNDS The signed financing documents will state the amount, permitted commercial use, term, payment schedule, fees, reporting requirements and any security or conditions. The business must use funds only for the agreed purpose, maintain adequate records and provide reasonable evidence of use when requested. 6. REPRESENTATIONS AND ONGOING DUTIES The business represents that its application and supporting documents are authentic; signatories are authorised; its activities and proposed use are lawful; and material liabilities, disputes, insolvency concerns and conflicts have been disclosed. It must notify the relevant parties promptly of any event likely to affect performance or repayment. 7. REPAYMENT AND DISTRIBUTIONS The business must meet payment obligations in the manner and on the dates stated in the signed agreement. References to target investor distributions do not alter the business’s actual contractual obligations. No projected profit is guaranteed by Meridian. 8. FEES, COSTS AND TAXES Any application, arrangement, administration, legal, payment, enforcement or other charges must be disclosed in the relevant documents before becoming binding. The business remains responsible for its own professional advice, taxes and internal costs unless the signed agreement says otherwise. 9. DEFAULT AND REMEDIES Events of default and available remedies are governed by the signed financing documents and may include late-payment measures, suspension of further funding, acceleration, enforcement, restructuring or termination where lawful. Meridian does not promise that recovery action will recover all amounts. 10. CONFIDENTIALITY AND DATA Meridian will handle application information under the Privacy Policy. The business authorises reasonable sharing with prospective or participating capital providers, verification providers, professional advisers and transaction service providers for assessment and administration. Confidential information must not be misused by any party. 11. WITHDRAWAL, REJECTION AND TERMINATION An applicant may withdraw before signing, subject to any separately agreed costs. Meridian may reject or stop processing an application at its discretion where lawful. Signed arrangements may be terminated only according to their terms. 12. GOVERNING DOCUMENTS AND CONTACT The final signed financing agreement controls over website summaries or communications. Its governing law and dispute process apply to that financing.
